Legal Counsel

Major tasks and responsibilities of position:

• Prepare, review, negotiate, draft, contracts and develop related contract templates for Backbone functions.
• Prepare, review, negotiate, draft, etc. contracts and develop related contract templates for Marketing and Sales functions, with particular focus on compliance / FCPA issues.
• Assist BSAH (Animal Health) as the primary contact lawyer for all legal work.
• Devise new (and revise current) guidelines, comment on guidelines from other departments, and assist on processes as needed.
• Assist on any in-licensing/out-licensing matters, BHC entity/branch licenses updating/expansion, promotional material review to ensure complies with legal/compliance standards, due diligence matters, etc, as needed.
• For daily operational and specific projects:  identify legal issues and provide constructive legal advice
• Manage and handle external legal advice including instructing external lawyers, managing external legal costs, ensuring quality of work, etc.
• Assist on any other matter as requested.

 Qualifications:

•  Degree in law from a reputable university, obtained practicing attorney license
• At least 5 years’ legal experience in a reputable law firms and/or in the inhouse legal department of a multinational company, strong preference for healthcare/life sciences experience.
• Strong technical legal skills particularly in drafting/negotiating contracts and the drafting of guidelines and internal processes
• Excellent drafting skills in both English and Chinese
• Excellent communication and interpersonal skills, including teamwork
• Strong ability to coach/lead others
